Terms of Service

These Terms of Service ("Terms") govern your use of EntryRocket (the "Service"), operated by Skylab LLC ("Skylab", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree, do not use the Service.

Skylab LLC operates EntryRocket, a service that automates the import of files into Xero accounting software.


2. Eligibility

By using the Service, you represent that:

  • You are at least 18 years of age.
  • You are acting on behalf of a business entity.
  • You have the authority to bind that business entity to these Terms.

The Service is a business-to-business (B2B) product designed for companies that use Xero for accounting. It is not intended for personal or consumer use.


3. The Service

EntryRocket processes files (CSV, Excel, PDF, XML, JSON, and other formats) sent via email to your dedicated reader address and creates corresponding documents in your connected Xero organization. This includes invoices, bills, purchase orders, quotes, credit notes, manual journals, bank transactions, batch payments, contacts, and items.

3.1 Data Extraction Accuracy

Unlike OCR-based solutions that interpret images of text, EntryRocket reads data directly from structured files. The extraction of text from your files is deterministic — what is in the file is exactly what gets read.

However, the mapping rules that determine how extracted data is translated into Xero documents (such as field assignments, tax rates, and categories) are configured by humans during reader setup. While we take great care to configure these correctly, configuration errors are possible.

You are responsible for reviewing the documents created in Xero, particularly during the initial period after a new reader is set up. We recommend verifying a sample of processed documents to confirm the mapping is correct.

3.2 Third-Party Dependencies

The Service relies on third-party platforms including Xero (accounting), Postmark (email processing), Paddle (payments), and Heroku (hosting). These platforms are governed by their own terms of service. We are not responsible for changes to, outages of, or issues caused by these third-party services.

Processing limits, including the number of documents that can be created per day, are subject to Xero's own API limits. File size limits are determined by your email provider and our email processing service.


4. Accounts

When you create an EntryRocket account, the agreement is between Skylab LLC and the business entity you represent. The account belongs to the business, not to any individual user.

You are responsible for:

  • Maintaining the security of your account credentials.
  • All activity that occurs under your account.
  • Ensuring that only authorized personnel have access to your account.
  • Keeping your reader email addresses confidential and not sharing them publicly.

5. Reader Setup

Each reader (a dedicated email address that processes a specific file format) requires a one-time setup. The minimum setup fee is $149 USD. For more complex file formats, the fee may be higher.

You will always be quoted the exact setup cost before you agree to proceed. No reader setup work begins without your approval of the quoted price.


6. Pricing, Credits & Billing

6.1 Subscription Plans

The Service is offered on a monthly subscription basis. Each plan includes a set number of credits and a maximum number of connected Xero organizations. Current pricing is available on our pricing page.

6.2 Credits

Credits are consumed when documents are created in Xero. One credit equals one document, with additional credits used for large line item counts, file attachments, and auto-created Xero items. Full details are on the pricing page.

Credit usage is calculated as a rolling 90-day average. Credits that are unused beyond this rolling window expire and are not carried forward.

6.3 Payment

All payments are processed by Paddle, which acts as our Merchant of Record. All prices are in USD and exclude applicable taxes, which Paddle calculates based on your location.

6.4 Price Changes

We may change our pricing at any time. If we increase prices, we will notify existing customers by email at least 30 days before the new pricing takes effect.


7. Money-Back Guarantee

If you are not satisfied with the Service, you may request a full refund within 30 days of your first payment. To request a refund, contact us at hi@skylab.rs.


8. Cancellation

You may cancel your subscription at any time. There are no long-term contracts or cancellation fees.

Upon cancellation:

  • Your access to the Service continues until the end of your current paid billing period.
  • Unused credits are not refunded.
  • After your subscription expires, your account will be deactivated and files will no longer be accepted.
  • Your account data (including previously processed files) may be retained for up to 12 months after cancellation, after which it is permanently deleted.

9. Your Data

9.1 Ownership

You retain all intellectual property rights to the files you upload. By using the Service, you grant us a limited, non-exclusive license to process your files solely for the purpose of providing the Service (creating documents in your Xero organization).

9.2 File Retention & Deletion

Uploaded files are automatically deleted after one year. If you need files deleted sooner, contact our support team.

The Service is not a file storage or backup solution. We strongly recommend keeping your own copies of all files you send to EntryRocket.

9.3 Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.


10. Acceptable Use

You agree not to:

  • Upload files containing malware, viruses, or executable code.
  • Use the Service for any illegal purpose, including money laundering or processing fraudulent transactions.
  • Attempt to access other customers' data, accounts, or reader addresses.
  • Share your reader email addresses publicly or with unauthorized parties.
  • Send automated or bulk emails to reader addresses in a manner intended to disrupt the Service.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service or its parsers.
  • Resell, sublicense, or provide access to the Service to third parties without our written consent.

11. Service Availability

The Service is provided on an "as is" and "as available" basis. While we strive for the highest possible uptime, we do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or modifications that temporarily affect availability.


12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of how they arise.
  • Our total aggregate liability for any claims arising from or related to the Service is limited to the fees you have paid to us in the 12 months immediately preceding the event giving rise to the claim.

Without limiting the above, we are not liable for:

  • Errors in Xero documents caused by incorrect or incomplete source files.
  • Errors resulting from parser configuration mistakes, though we will correct such issues promptly when identified.
  • Outages or changes to third-party services (Xero, Postmark, Paddle, Heroku, or email providers).
  • Actions taken by you based on data processed by the Service without verification.

Nothing in these Terms excludes or limits our liability for fraud or wilful misconduct.


13. Indemnification

You agree to indemnify and hold harmless Skylab LLC from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.


14. Changes to These Terms

We may update these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page.

Your continued use of the Service after changes are published constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Service and cancel your subscription.


15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Serbia.

Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively by the Commercial Court in Zrenjanin (Privredni sud u Zrenjaninu), Serbia.
